Introduction And Acceptance

Welcome to YlanAI (the "Service").
By accessing, registering for, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and related rules. If you do not agree, stop using the Service.

Definitions

Unless the context requires otherwise, the following terms have these meanings:

  • Service: the YlanAI website, pages, features, model outputs, and related support services.
  • User: any individual or organization that accesses, registers, logs in to, or uses the Service.
  • User Content: any information submitted, uploaded, published, or transmitted by a user, including text, images, materials, and input data.
  • Analysis Allowance: the internal usage unit of the Service and not legal tender, a deposit, or a financial asset.

About The Service

The Service is positioned as a structured analysis and decision-support tool. Outputs are provided for reference only and do not constitute a promised result.
The Service may adjust features, displays, or rules based on product iteration, compliance requirements, and operational arrangements.

When using the Service, the following boundaries apply:

  • Scope of use: outputs are for learning, research, communication, and entertainment reference, and are not guaranteed conclusions about future outcomes.
  • Input premise: the more complete the background information is, the easier it is to focus the analysis. If some information is uncertain, you may start from the real problem itself.
  • Professional boundary: for medical, legal, compliance, and major financial matters, professional advice should prevail. The Service does not replace professional judgment.
  • Use by minors: minors are advised to use the Service with guardian guidance, and should not treat the output as the sole basis for major decisions.
  • How to use it: combine the output with real context and objective information, and use it as a reference perspective rather than the only conclusion.

Account Registration, Login, And Security

  1. You must provide true, accurate, and complete information and keep it updated.
  2. You must safeguard your account and credentials and are responsible for activity under your account.
  3. If you discover abnormal account activity, leakage, or unauthorized use, you must notify us immediately and take necessary measures.

User Conduct Rules

You may not use the Service to carry out or help carry out any of the following:

  • violating laws, regulations, regulatory requirements, or public order
  • impersonation, fraud, misleading promotion, or false promises
  • interfering with, attacking, or damaging service security or stable operation
  • scraping, reverse engineering, bypassing restrictions, or unauthorized access
  • infringing the lawful rights of others, including intellectual property, privacy, and reputation
  • generating or distributing unlawful, harmful, discriminatory, hateful, or violent content

Subscription, Billing, Analysis Allowance Deduction Rules, And Refund Policy

  1. The issuance, validity, reset, and consumption rules for subscription, add-on, and gifted analysis allowance follow the current page rules.
  2. A request that triggers a complete analysis flow deducts analysis allowance under the current rules.
  3. Consumed services normally do not support unconditional refunds. Duplicate charges, system exceptions, or payment mistakes are reviewed and handled under the rules.
  4. Unless special campaign rules say otherwise, analysis allowance normally cannot be gifted, transferred, assigned, or cashed out.

AI-Generated Content And Usage Limits

  1. The Service output is generated automatically by AI and may contain errors, omissions, expression bias, or contextual mismatch.
  2. The output is for reference only and does not constitute medical advice, legal advice, investment advice, or other professional advice.
  3. Users must make independent judgments based on real information and may not use the output as the sole basis for major matters.

User Content And Authorization

  1. You represent that you have lawful rights to the content you submit and have obtained any necessary authorization.
  2. To provide the Service, troubleshoot failures, perform security auditing, and handle compliance matters, you grant us a non-exclusive license to process the relevant content within the necessary scope.
  3. Content you submit may not contain unlawful or infringing information. You are responsible for violations.

Intellectual Property And Other Rights

  1. The Service and related content, including page structure, copy, marks, programs, and functional arrangement, are protected by law.
  2. Without authorization, you may not copy, modify, distribute, sell, lease, reverse engineer, or otherwise misuse the Service.
  3. Nothing in these Terms transfers intellectual property rights in the Service to the user.

Privacy And Personal Information

Personal information processing by the Service follows the Privacy Policy.
If these Terms conflict with the Privacy Policy on personal information matters, the Privacy Policy and any mandatory law prevail.

Third-Party Services And Links

The Service may integrate third-party payments, cloud services, links, or external content. Third-party services operate independently and are responsible for their own rules.
When using third-party services, you must follow their terms and policies and bear the corresponding risks yourself.

If we reasonably believe there is a violation, abnormal risk, or security incident, we may take measures including but not limited to:

  • warning, rate limiting, or restricting part of the functionality
  • suspending or terminating the related account or service

  • reporting to competent authorities and cooperating with investigations as required by law

Complaints, Reports, And Violation Handling

Users may submit complaints, reports, and appeals through in-product channels or our contact email.
We will review them within a reasonable scope and handle them under applicable rules, but we do not guarantee that every request will be resolved in the exact way a user expects.

Changes, Interruptions, Suspension, And Termination Of The Service

We may change, interrupt, suspend, or terminate all or part of the Service for maintenance, upgrades, compliance, risk control, or other reasonable causes.
Where feasible, we will provide notice in a reasonable manner.

The Service is provided on an "as is" and "as available" basis.
To the extent permitted by applicable law, we make no express or implied warranty regarding continuity, accuracy, timeliness, suitability, or error-free operation.

Limitation Of Liability

To the extent permitted by applicable law, we do not undertake guaranteed liability for indirect loss, consequential loss, lost opportunity, or loss of expected benefit arising from use of or inability to use the Service.
If mandatory law provides otherwise, that law prevails.

Indemnification

If your violation of these Terms, unlawful conduct, or infringement of third-party rights causes us or our affiliates to suffer losses, claims, penalties, or expenses, including reasonable attorneys' fees, you must indemnify us accordingly.

Force Majeure

If the Service is affected by force majeure or events beyond our reasonable control, we are not liable for breach or compensation to the extent permitted by law.
Force majeure includes but is not limited to natural disaster, war, public health events, network or communications failure, and policy or regulatory changes.

Governing Law And Dispute Resolution

20.1 Governing law
The formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of the People's Republic of China, excluding conflict of law rules, unless mandatory law requires otherwise.

20.2 Good-faith negotiation first
Any dispute arising from or related to these Terms or the Service must first be resolved through good-faith negotiation. If no resolution is reached within 30 days after written notice from one party to the other, either party may initiate arbitration under this section.

20.3 Arbitration institution and rules
Unless mandatory law provides otherwise, disputes shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) and arbitrated under its rules in effect at that time. The award is final and binding on both parties.

20.4 Seat of arbitration
The seat of arbitration is the Hong Kong Special Administrative Region.

20.5 Language of arbitration
The arbitration language is Chinese, unless the parties agree otherwise in writing.

20.6 Confidentiality of arbitration
To the extent permitted by law, the arbitration process and related materials must remain confidential, except where disclosure is required by law, by regulators, or to enforce or challenge an award.

20.7 Class and representative action waiver
To the extent permitted by law, disputes must be resolved on an individual basis and not through class, representative, or joint proceedings. If this clause is found invalid or unenforceable, the rest of this section, including the arbitration clause, remains effective.

20.8 Exception for injunctive relief
Notwithstanding the above, either party may seek interim injunctive relief, property preservation, or conduct preservation from a court with jurisdiction in the Hong Kong Special Administrative Region for intellectual property, confidentiality, or urgent rights protection, and doing so does not waive arbitration.

Notices And Delivery

  1. We may send notices through in-product announcements, in-product messages, your bound email address, or other reasonable means.
  2. A notice is deemed delivered within a reasonable time after it is sent.
  3. You must ensure that your contact information is true, valid, and kept up to date.

Term Updates

We may update these Terms based on laws and regulations, compliance requirements, business strategy, or product iteration.
Updated Terms take effect upon publication. Continued use of the Service means acceptance of the updated Terms.

Severability, Waiver, And Entire Agreement

  1. If part of these Terms is found invalid, the rest remains effective.
  2. Our failure to exercise a right does not constitute waiver of that right.
  3. These Terms and related rules together form the complete agreement between you and us concerning the Service.

Assignment

To the extent permitted by law, we may assign some or all rights and obligations under these Terms in connection with business reorganization, merger, division, or asset transfer.
You may not assign your rights or obligations under these Terms without our written consent.
